Delaware C-Corp

A US company incorporated in Delaware, the standard structure for startups raising from US investors.

A Delaware C-Corporation is the default entity for startups seeking US venture capital, thanks to Delaware’s well-established corporate law, flexible governance and investor familiarity. Many UK startups targeting US funding “flip” into a Delaware C-Corp, placing the UK company beneath a US parent. It enables US-style equity instruments (SAFEs, ISOs) but adds cross-border tax and compliance complexity, and can affect SEIS/EIS eligibility.

Examples

A UK SaaS startup flips to a Delaware C-Corp before raising from Silicon Valley VCs. — A founder weighs Delaware incorporation against staying UK-only.

How it relates to The Startup Foundry

Most UK pre-seed founders should stay a UK Ltd to keep SEIS/EIS available — exactly the structure the Foundry’s investor network favours. The Foundry helps you understand when (and whether) a US flip makes sense.
